Welcome to FieldFlowSales. These Terms of Service ("Terms") govern your access to and use of the FieldFlowSales mobile application and web platform (collectively, the "Services"). By accessing or using our Services, you agree to be bound by these Terms and our Privacy Policy.

If you are using the Services on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms, and "you" refers to both you individually and the organization.

If you do not agree to these Terms, you may not access or use the Services.

2. Description of Services

FieldFlowSales is a GPS-based field sales management platform that provides:

• Real-time GPS tracking and route planning for field sales teams
• Location-based customer visit verification using geofencing technology
• Order management and sales tracking
• Analytics and reporting tools for managers
• Customer relationship management features
• Photo capture and documentation capabilities
• Team collaboration and communication tools

We reserve the right to modify, suspend, or discontinue any part of the Services at any time, with or without notice. We will not be liable to you or any third party for any modification, suspension, or discontinuation of the Services.

3. Eligibility

You must meet the following requirements to use the Services:

• You must be at least 18 years of age
• You must have the legal capacity to enter into a binding contract
• You must not be prohibited from using the Services under applicable law
• You must be authorized by your organization to use the Services on their behalf
• You must have a valid email address and provide accurate registration information

4. User Accounts and Registration

4.3 Account Termination

We reserve the right to suspend or terminate your account at any time, with or without cause or notice, if we believe you have violated these Terms or engaged in fraudulent, illegal, or harmful conduct.

6. GPS Tracking and Location Services

6.1 Consent to Location Tracking

By using FieldFlowSales, you acknowledge and agree that:

• GPS tracking is essential to the Services and cannot be disabled during active routes
• Your location will be tracked in real-time during active work hours
• Location data will be visible to authorized users in your organization (managers, administrators)
• Background location tracking may occur when routes are active
• You must grant necessary location permissions for the app to function

6.2 Employment Context

Location tracking is intended for business purposes only and should be used in accordance with your employment agreement and applicable employment laws. If you have concerns about location tracking, please discuss them with your employer or organization administrator.

6.3 Accuracy Disclaimer

While we strive for accuracy, GPS and location services may be affected by device capabilities, network conditions, environmental factors, and other variables. We do not guarantee 100% accuracy of location data.

7. Your Data and Content

7.1 Ownership

You or your organization retain ownership of all data, content, and information you submit to the Services ("Your Data"), including but not limited to:

• Customer information and contact details
• Sales data and order information
• Photos and documentation
• Location history and route data
• Notes and comments

7.2 License to Use Your Data

By submitting Your Data to the Services, you grant us a worldwide, non-exclusive, royalty-free license to use, store, process, and display Your Data solely for the purpose of:

• Providing and operating the Services
• Improving and developing the Services
• Generating anonymized analytics and insights
• Complying with legal obligations

7.3 Data Responsibility

You are responsible for:

10. Disclaimers and Limitations

THE SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR ACCURACY.

10.2 No Guarantee

We do not warrant that:

• The Services will be uninterrupted, secure, or error-free
• Defects will be corrected
• The Services are free of viruses or harmful components
• Results obtained from the Services will be accurate or reliable
• GPS and location data will be 100% accurate

10.3 Third-Party Services

The Services may integrate with third-party services (such as Google Maps). We are not responsible for the availability, accuracy, or content of third-party services.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, FIELDFLOWSALES AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO:

• Loss of profits, revenue, data, or business opportunities
• Service interruptions or system failures
• Errors or inaccuracies in location data
• Unauthorized access to or alteration of your data
• Third-party conduct or content

OUR TOTAL LIABILITY FOR ANY CLAIMS ARISING FROM OR RELATED TO THE SERVICES SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE 12 MONTHS PRECEDING THE CLAIM, OR $100, WHICHEVER IS GREATER.

Some jurisdictions do not allow the exclusion or limitation of certain damages, so some of the above limitations may not apply to you.

12. Indemnification

You agree to indemnify, defend, and hold harmless FieldFlowSales and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising from or related to:

• Your use or misuse of the Services
• Your violation of these Terms
• Your violation of any rights of another person or entity
• Your Data or any content you submit to the Services
• Your violation of applicable laws or regulations

13. Termination

13.1 By You

You may terminate your account at any time by contacting us or through the account settings. Termination will be effective at the end of your current billing period.

13.2 By Us

We may suspend or terminate your access to the Services immediately, without prior notice, if:

• You violate these Terms
• You fail to pay applicable fees
• We reasonably believe your use poses a security risk
• We are required to do so by law
• We decide to discontinue the Services

13.3 Effect of Termination

Upon termination, your right to use the Services immediately ceases. We may delete Your Data in accordance with our data retention policies. You remain liable for all fees incurred prior to termination.
